Emaze Auction - User Agreement

1. GENERAL TERMS AND CONDITIONS OF USE All users of this service (Buyers, Sellers, Bidders) hereafter known as "Users", when using this site, in any capacity, agree to be bound by all of the Terms and Conditions as set forth by this Auction. Bennett Ventures Inc. is a Minnesota corporation and, therefore, shall be governed in accordance with the laws of the state of Minnesota. Users of this service and Bennnett Ventures Inc. agree to be bound by the laws of the state of Minnesota as it applies to the Terms and Conditions of Use

2. SERVICE mnbid.com, a Bennett Ventures corporation, provides its members with advertisement via the World Wide Web. Users must, at their own cost, pay any connection and/or service fee associated with obtaining online service to this web site. Users agree to accurately provide and update the information requested in the Registration. If any of this information is not valid, Bennett Ventures, Inc., in its sole discretion, has the right to terminate the User's privilege to use this service. Users give Bennett Ventures Inc. the right to disclose necessary information to any third parties and as applicable by law and agree to cooperate with Bennett Ventures, Inc and/or their agents or employees as deemed necessary in the sole discretion of Bennettt Ventures, Inc.

3. MODIFICATIONS TO TERMS AND CONDITIONS OF SERVICE Bennett Ventures, Inc. can modify the terms and conditions at any time. If a change has been made then Bennett Ventures, Inc. will make an effort to notify its Users but is not obligated to do so. If you do not accept these modifications, you may cancel your membership with this auction at that time, however you must still abide by the terms and conditions of completed auctions. The continued use of this site establishes agreement with these changes and your agreeing to be bound by all modifications and conditions as set forth in these amendments. If the User for any reason should discontinue or become dissatisfied with this Service in any way it's only recourse is to terminate it's Service and notify Bennett Ventures, Inc. Bennett Ventures, Inc. reserves the right to modify its terms and conditions of service and/or discontinue its service at any time. Bennett Ventures shall have no liability to any user and or third party, registered or not, for exercising its right to such modifications or discontinuation of service.

4. USER RESPONSIBILITIES Bennett Ventures, Inc. will not monitor or police any communications between Users (Buyers/Sellers). Users agree that Bennett Ventures, Inc. assumes no responsibility for any communication, property damage and/or crime associated with using this service. The User is solely responsible for complying with all applicable local, state, national and international laws and regulations, and to not use this service for any illegal activity. Users further agree to comply with terms, conditions, policies and procedures of the Internet and networks associated with this service, including but not limited to adhering to the appropriate guidelines and users agree not to tamper with networks associated with this service. The User agrees that the content provided by this Service is the property of Bennett Ventures, Inc. And is protected by laws prohibiting any and all reproduction without the expressed written consent authorizing its use by Bennett Ventures, Inc. Bennett Ventures, Inc. reserves the right, at its sole discretion, to terminate Service of any User with or without cause at any time and the cancellation will be effective immediately. Bennett Ventures, Inc. shall not be liable to the User of any third party. Upon termination, the User gives up all right to use this Service and Software, effective immediately. The User has no right nor does Bennett Ventures, Inc., have any responsibility to forward any message to the terminated User or any third party.

5. INDEMNIFICATION All Users agree to hereby release, indemnify and hold harmless Bennett Ventures, Inc., its parent companies, subsidiaries, affiliates, officers, employees and/or representatives, from any claim or demand, including but not limited to, attorneys' fees, made by any third party due to/or arising out of User's use, violation or infringement of this Service.

6. ACCOUNT USE It is the User's sole responsibility to ensure the confidentiality of your account. You are completely responsible for any and all activities incurred under your account. You also agree to immediately notify Bennett Ventures, Inc. of any unauthorized account use.

7. DISCLAIMER User acknowledges that the use of this service is completely at his/her risk and that Bennett Ventures, Inc. assumes absolutely no responsibility regarding any transaction, goods or services related to this Service. Bennett Ventures, Inc. denies and disclaims any and all warranties of any kind. These items are sold as-is; where is without any warranty, expressed or implied. Furthermore, Bennett Ventures, Inc. denies and disclaims any warranty, whether oral or written, including, but not limited, to merchantability, fitness and/or implied warranty for any particular purpose and non-infringement. Bennett Ventures, Inc. assumes no responsibility for any service or product, reliability or accuracy of any information, or lack thereof, obtained using this service. furthermore, Bennett Ventures, Inc. assumes no responsibility secondary to software and/or hardware errors or interrupted service. Users further agree that any item, service, data and/or other material obtained and/or downloaded is done solely at the Users risk and is solely responsible for any and all damage which may occur to the User's software/hardware, including loss or corruption of data, as a result of using this service or downloading said data or material.

8. LIMITATION OF LIABILITY Bennett Ventures, Inc. shall not be liable for any damage, loss of use, data, profits or other intangibles, whether direct, indirect, incidental or consequential, arising from the use or lack here-of, to use this service or for the cost to acquire replacement goods and /or services which might ensue as a result of any transactions, services, goods, or messages from the use of this service, including but not limited to unauthorized access, alteration or corruption of data transmitted or received, even if Bennett Ventures, Inc. has been informed of said possibilities. Bennett Ventures, Inc. assumes no responsibility for the corruption or failure to send, store or receive Email messages.
